End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a binding agreement between you ("End User" or "you") and OrbitNest Inc. ("Company") for the Pip mobile application ("Application"). By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement.

Subject to the terms of this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application for your personal, non-commercial use on a mobile device that you own or control.

Pip offers auto-renewable Premium subscription services with the following terms:

• Monthly Subscription: automatically renewed every month
• Annual Subscription: automatically renewed every year
• Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel your subscriptions in your App Store or Google Play account settings
• Any unused portion of a free trial period will be forfeited when you purchase a subscription

Premium subscription includes:

• Smart Settle-Up — optimised payment calculations to minimise transfers
• Payment reminders for group members
• Unlimited groups and expense history
• Advanced analytics and spending reports
• Priority customer support
• Early access to new features

You agree not to:

• Copy, distribute, or modify the Application
• Reverse engineer, decompile, or disassemble the Application
• Use the Application for any unlawful purpose
• Share your account credentials with others
• Attempt to gain unauthorized access to our systems

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE APPLICATION.

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies from your devices.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is incorporated, without regard to its conflict of law provisions.
